1. Acceptance of Terms

By accessing or using the ShadowTrace case management application ("App") provided by ShadowTrace ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Eligibility & Authorized Use

The App is intended solely for use by licensed private investigators, law firms, insurance professionals, and other authorized business users. By using the App, you represent that:

  • You are at least 18 years of age.
  • You hold any licenses or permits required by your jurisdiction to conduct investigative activities.
  • You will use the App only for lawful purposes and in compliance with all applicable laws.
  • You are authorized by your organization to access and use the App.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

4. Acceptable Use

You agree NOT to use the App to:

  • Conduct or facilitate any illegal surveillance, stalking, or harassment.
  • Store or transmit data in violation of any privacy law (including CCPA, GDPR, or applicable state laws).
  • Impersonate any person or entity or misrepresent your affiliation.
  • Upload malicious code, viruses, or disruptive content.
  • Attempt to gain unauthorized access to any part of the App or its infrastructure.
  • Resell, sublicense, or commercially exploit the App without written permission.

5. Data & Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring you have the legal right to collect and store any personal data you enter into the App, including client and subject information.

6. Intellectual Property

All software, design, trademarks, and content comprising the App are the exclusive property of ShadowTrace or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose. No rights are transferred to you beyond this license.

7. Confidentiality

Case data, client information, and investigation records entered into the App are treated as confidential. We will not access your case data except as required to provide technical support, comply with legal obligations, or as described in our Privacy Policy.

8. Disclaimers

The App is provided "as is" without warranties of any kind, express or implied. We do not warrant that the App will be error-free, uninterrupted, or free of security vulnerabilities. Use of the App for any investigative purpose is solely at your own professional risk and judgment.

9. Limitation of Liability

To the maximum extent permitted by law, ShadowTrace shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the App, including loss of data, revenue, or business opportunities, even if we have been advised of the possibility of such damages.

10. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Florida.

12. Changes to These Terms

We may update these Terms at any time. Continued use of the App after changes are posted constitutes acceptance of the revised Terms. We will update the "Last updated" date above when changes are made.

13. Compliance & Legal Obligations

This App is subject to all applicable federal, state, and local laws governing private investigation, data collection, and surveillance. Users are solely responsible for ensuring compliance with relevant laws, including CCPA, GDPR, wiretapping laws, and state-specific PI regulations.
